WDX : CR 23/2017 – Registration of the changes in the Articles of Association of the Company

WDX S.A. Management Board having its registered office in Warsaw, informs that on 23 August 2017, it received the Decision of the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Department of the National Court Register, on registration of the changes in the Articles of Association of the Company concerning paragraph 21, passages 2 and 3 and paragraph 30, in accordance with Resolution no. 17/2017 of the WDX S.A. General Assembly of 14 June 2017

1) The previous wording of paragraph 21, passages 2 and 3 of the Company's Articles of Association:

'2. Three members of the Supervisory Board should be independent members. 3. An independent member of the Supervisory Board shall be:

1. A Person: a) not being a descendant or ascendant of any Stockholder of the Company owning stocks entitling them to at least 5% of votes at the General Assembly, nor a descendant or ascendant of a member of the Management Board, b) not being in any legal relationship with any Stockholder of the Company who has stocks entitling them to at least 5% of votes at the General Assembly nor with a member of the Management Board, who may be able to significantly affect the rights and obligations thereof.

2. A Person not remaining in direct business subordination towards a member of the Supervisory Board or the Management Board of the Company.

3. A person not having significant commercial connections with the Company, nor subsidiaries thereof. A person having important commercial connections shall be deemed to mean a person with at least 50% of annual income from transactions concluded with the Company and its subsidiaries'

After the change, paragraph 21, passages 2 and 3 of the Company's Articles of Association shall have the following wording:

'2. At least two members of the Supervisory Board shall be independent members.

3. An independent member of the Supervisory Board shall be a Person meeting the requirements provided for in the respective legal and corporate regulations'

2) In paragraph 30 passage 1 of the Company's Articles of Association, after item 14, item 15 shall be added as follows: '15) expresses permission for members of the Management Board to participate in management or supervisory boards of companies from outside the capital group'.
