Bank Millennium : Changes in the composition of the Management Board of Bank Millennium S.A.

The Management Board of Bank Millennium S.A. (the 'Bank') informs that on April 20, 2018, Ms. Maria Jose Henriques Barreto De Matos De Campos gave her resignation from the function of the Bank's Management Board member, effective with above date. Ms Maria Jose Henriques Barreto De Matos De Campos motivated her resignation with new professional plans in BCP Group. Moreover, the Management Board of Bank Millennium S.A. informs, that at its today's meeting the Supervisory Board of the Bank, acting on the grounds of par. 17 section 1 of the Bank's Articles of Association, appointed as members of the Management Board of the Bank, Mr António Ferreira Pinto Júnior as of April 20, 2018, and Mr Jarosław Hermann as of August 1, 2018.

Mr António Ferreira Pinto Júnior graduated in Economics (1985-1990) at Oporto University and Corporate Finance at Minho University (1993-1994). He started his professional career in Banco Português do Atlântico (1990), since 1994 part of Millenniumbcp Group, gaining experience in Retail and Corporate Banking, namely with the managerial positions held in marketing and sales support areas. Between 2001 and 2011 worked in Bank Millennium, S.A., as Head of Departments related to Marketing, Quality and Operations, and, since April 2010, as a Member of the Management Board. In the past 7 years, he held the position of Head of Retail Banking Marketing Department in Millenniumbcp in Portugal, being also Member of Management Board of ActivoBank since July 2016.

Mr Jarosław Hermann graduate of Applied Mathematics and Physics Faculty at Warsaw University of Technology in 1994 and Carlson School of Management MBA program in 2002. He gained broad IT & Operations practice working on managerial positions in PepsiCo, Pioneer Financial Services and Accenture, where he was conducting mid / large scale projects in banking sector in Poland and CEE countries. 2005-2010 board member of First Data Poland responsible for providing operational services for card acquiring and financial solutions business lines. 2010-2016 board member of AXA companies in Poland responsible for IT & Operations. Since 2016 he has been working as a vice president of Polskie ePłatności, emerging card acquirer.

Mr António Ferreira Pinto Júnior and Mr Jarosław Hermann do not conduct competitive activity towards the Bank, they are not a partners in a company competitive towards the Bank, nor they are members of an organ of capital company competitive towards the Bank, and they are not members of an organ of any legal entity competitive towards the Bank.

Mr António Ferreira Pinto Júnior and Mr Jarosław Hermann are not listed in the Register of Insolvent Debtors and they do not conduct any activity that could be competitive towards the Bank.

Legal grounds: § 5 section 1 item 21 and 22 of the Ordinance of the Minister of Finance of February 2009 on the current and periodic information submitted by issuers of securities and conditions of recognising as equivalent the information required by the law of non-member state.
