EXTENSION OF LONG STOP DATE OF MAJOR AND CONNECTED TRANSACTIONS RELATING TO THE ACQUISITION OF 60% OF THE TOTAL ISSUED SHARES OF ZHONG JIAN JIN BIAN JING JI TE QU LTD AND 60% OF SHAREHOLDER'S LOAN

Reference is made to the announcements of the Company dated 4 July 2016, 8 July 2016, 29 August 2016, 28 October 2016, 29 November 2016, 29 December 2016, 24

January 2017, 6 February 2017, 23 February 2017, 30 March 2017 and 29 May 2017 (collectively, the "Announcements") and the circular of the Company dated 10 March 2017 (the "Circular") in relation to the Acquisition by the Purchaser of the Sale Shares and the Sale Loan from the Vendor. Capitalised terms used herein shall have the same meanings as those defined in the Circular unless defined otherwise herein.

EXTENSION OF LONG STOP DATE

As disclosed in the Announcements and the Circular, completion of the Acquisition is

conditional upon, amongst other things, the fulfillment and/or waiver (if applicable) of the conditions precedent set out in the Sale and Purchase Agreement within six (6) months after the date of the Sale and Purchase Agreement, as extended by the Second Supplemental Deed dated 29 December 2016 signed by all the Parties to 31 March 2017, and further extended by the Third Supplemental Deed dated 30 March 2017 to 31 May 2017, and further extended by the Fourth Supplemental Deed dated 29 May 2017 to 31 July 2017 or any other date as the Parties may agree in writing. As additional time is required for the fulfillment of certain conditions precedent under the Sale and Purchase Agreement, the Parties to the Sale and Purchase Agreement entered into a fifth supplemental deed to the Sale and Purchase Agreement on 28 July 2017 (the "FIFTH Supplemental Deed") to extend the long stop date for fulfillment of the conditions precedent to 29 September 2017 or any other date as the Parties may agree in writing. Save as disclosed above, all other terms and conditions of the Sale and Purchase Agreement remain unchanged and in full force and effect in all respects.
