There is no term which imposes compulsory conversion of preference shares to ordinary shares. Except for the matters on which the preference shareholders are required to vote as provided by the laws, regulations or the articles of association, the preference shareholders do not have voting rights. However according to the terms and conditions of the preference shares, upon occurrence of a trigger event, the preference shareholders shall have the same right to attend and vote at both the shareholders' general meetings with ordinary shareholders and the A shareholders' class meetings with A shareholders.
