(Stock Code: 00144) ANNOUNCEMENT CONTINUING CONNECTED TRANSACTIONS LEASE AGREEMENTS, MANAGEMENT SERVICE AGREEMENTS AND TENANCY AGREEMENTS AND DETERMINATION OF ANNUAL CAPS LEASE AGREEMENTS AND MANAGEMENT SERVICE AGREEMENTSIn view of the expiry of the Existing Euroasia Cooperation Agreement, the Existing CMBL-CMSIZ Lease Agreement, the Existing CMBL-Nanyou Lease Agreement, the eleven Existing CMSIZ Lease Agreements, the Existing Supplemental Agreement to the South China Lease Agreement and the Existing SCMPM-SHESM Management Service Agreement on 31 December 2013, after negotiations between the relevant subsidiaries of the Company and the relevant members of the CMG Group, the relevant parties have entered into the New Lease Agreements and New Management Service Agreements to renew the leases of the relevant land and properties and the provision of management services in respect of the relevant leased properties. In addition, on 23 December 2013, CMHIT, an indirect subsidiary of the Company, entered into a new lease agreement and a new management service agreement, namely the 2014-2016 SCMPI-CMHIT Office Agreement and the 2014-2015 SCMPM-CMHIT Management Service Agreement, with SCMPI and SCMPM respectively, to lease a unit at Technology Building II in Shekou to be used as its offices and to receive management services in respect of the leased office unit. Further details of these New Lease Agreements and New Management Service Agreements are set out below.New Euroasia Cooperation AgreementIn view of the expiry of the Existing Euroasia Cooperation Agreement on 31 December 2013, CMCS, an indirect wholly-owned subsidiary of the Company, entered into the New Euroasia Cooperation Agreement with Euroasia on 23 December 2013, pursuant to which CMCS will continue to lease the piece of land in Tsing Yi from Euroasia for a term of two years commencing on 1 January 2014 and ending on 31 December 2015. The annual rental payable by CMCS to Euroasia under the New Euroasia Cooperation Agreement is HK$13,050,312 for each of the years ending 31 December 2014 and 2015.New CMBL-CMSIZ Lease AgreementIn view of the expiry of the Existing CMBL-CMSIZ Lease Agreement on 31 December 2013, CMBL, an indirect subsidiary of the Company, entered into the New CMBL-CMSIZ Lease Agreement with CMSIZ on 23 December 2013, pursuant to which CMBL will continue to lease the piece of land in the centralized inspection area located in Shenzhen Qianhaiwan Logistics Park from CMSIZ for a term of two years commencing on 1 January 2014 and ending on 31 December 2015. The annual rental payable by CMBL to CMSIZ under the New CMBL-CMSIZ Lease Agreement is RMB5,823,873.60 (equivalent to approximately HK$7,396,000) for each of the years ending 31 December 2014 and 2015.New CMBL-Nanyou Lease AgreementIn view of the expiry of the Existing CMBL-Nanyou Lease Agreement on 31 December 2013, CMBL, an indirect subsidiary of the Company, and Shenzhen Nanyou entered into the New CMBL-Nanyou Lease Agreement on 23 December 2013, pursuant to which CMBL will continue to lease the piece of land in Shenzhen Qianhaiwan Logistics Park from Shenzhen Nanyou for a term of six months commencing on 1 January 2014 and ending on 30 June 2014. The rental payable by CMBL to Shenzhen Nanyou under the New CMBL-Nanyou Lease Agreement is RMB119,159.90 (equivalent to approximately HK$151,000) per month and the total rental payable for the six months ending 30 June 2014 is RMB714,959.40 (equivalent to approximately HK$908,000). It is estimated that the total rental payable by CMBL to Shenzhen Nanyou for the year ending 31 December 2014 is approximately RMB1,430,000 (equivalent to approximately HK$1,816,000).New CMSIZ Lease AgreementsIn view of the expiry of the Existing CMSIZ Lease Agreements on 31 December 2013, SCMPS, an indirect wholly-owned subsidiary of the Company, entered into the New CMSIZ Lease Agreements with CMSIZ, pursuant to which SCMPS will continue to lease in aggregate 26 parcels of land in Shekou Industrial Park and certain property assets from CMSIZ for a term of two years commencing on 1 January 2014 and ending on 31 December 2015. The maximum annual total rental payable by SCMPS to CMSIZ under the New CMSIZ Lease Agreements (as aggregated) is approximately RMB54,700,000 (equivalent to approximately HK$69,000,000) for each of the years ending 31 December 2014 and 2015.New Supplemental Agreement to the South China Lease AgreementIn view of the expiry of the Existing Supplemental Agreement to the South China Lease Agreement on 31 December 2013, CMI Cold Chain, an indirect subsidiary of the Company, entered into the New Supplemental Agreement to the South China Lease Agreement on 23 December 2013 with CMSIZ, pursuant to which CMI Cold Chain agreed to increase the rental payable under the South China Lease Agreement to RMB100 (equivalent to approximately HK$127) per square meter per annum for the period from 1 January 2014 to 30 April 2015, on which the South China Lease Agreement shall expire. After the adjustment, the rental payable from CMI Cold Chain to CMSIZ is RMB2,004,088 (equivalent to HK$2,545,000) for the year ending 31 December 2014 and RMB668,029 (equivalent to HK$848,000) for the four months ending 30 April 2015.New SCMPM-SHESM Management Service AgreementIn view of the expiry of the Existing SCMPM-SHESM Management Service Agreement on 31 December 2013, SHESM, an indirect wholly-owned subsidiary of the Company, entered into the New SCMPM-SHESM Management Service Agreement with SCMPM on 23 December 2013, pursuant to which SCMPM will continue to provide management services for the unit leased from SCMT to SHESM under the 2013-2015 SCMT Lease Agreement to SHESM for a term of one year from 1 January 2014 to 31 December 2014. The total management service fee payable under the New SCMPM-SHESM Management Service Agreement is RMB166,638.12 (equivalent to approximately HK$212,000) for the year ending 31 December 2014.
