The Board of Directors of Dmail Group S.p.A.:
o appointed by cooptation a new member of the Board of Directors;
o appointed Vincenzo Borgogna, currently Managing Director also as General Manager of the
Company;
o integrated internal Committees.
Milan, 23 April 2012 - The Board of Directors of Dmail Group
S.p.A., company listed in the STAR Segment of Borsa Italiana
S.p.A., met today under the chair of Andrea Zanone Poma and,
having acknowledged the resignation of Independent and
non-executive Director Stefania Chiaruttini, communicated on
22 February 2012, resolved to appoint by co-optation Saverio
Alfonso Mazzuca, as new independent and non-executive member
of the Board of Directors.
It should be pointed out that the Director Saverio Alfonso
Mazzuca shall remain in office until the forthcoming
shareholders'general meeting dated 6-7 May 2012, pursuant to
the applicable regulations.
The curriculum vitae of Saverio Alfonso Mazzuca is available
to the public at the offices of the company or on its
internet website (www.dmailgroup.it). To the Group's
best knowledge, Saverio Alfonso Mazzuca does not appear to be
currently holding, whether directly and/or indirectly, any
ordinary shares of Dmail Group S.p.A..
The Board of Directors, having acknowledged the declarations
of director Saverio Alfonso Mazzuca and holding into account
the available information, assessed his possession of the
requirements of independence for the purposes of Article 148
(3) of Legislative Decree no. 1998/58 and Article 3 of the
Corporate Governance Code promoted by Borsa Italiana
S.p.A.
The Board of Directors meeting today proceeded to integrate
the Company's Internal Committees by appointing independent
director Saverio Alfonso Mazzuca as the Chairman of the
Remuneration Committee, member of the Internal Control
Committee and Related Parties Committee.
The Board of Directors meeting today, by prior approval of
the Related Parties Committee, has also passed a resolution
for the appointment of Vincenzo Borgogna already Managing
Director of the Company, also as General Manager of Dmail
Group S.p.A. with a view to consolidating and developing
specific competences in support of the development of the
Dmail Group's performance.
