Notice of Share Split

As outlined in the Notice of Annual General Meeting dated 16 March 2016 and following the passing of the relevant resolution at the AGM held on 20 April 2016, it is expected that the sub-division of each of the Company's existing ordinary shares of 1.5625 pence each into 3 new ordinary shares of 25/48ths of a penny each ('New Ordinary Shares') (the 'Sub-division') will become effective at 8.00 a.m. on Monday 27 June 2016 (the 'Effective Date'). On the Effective Date, the Official List of the UKLA will be amended to reflect the Sub-division.

The New Ordinary Shares have the ISIN code GB00BYN59130.

Shareholders who hold their shares in uncertificated form will have their CREST accounts credited on the Effective Date. Holders of shares in certificated form will be sent new share certificates in respect of their holdings of New Ordinary Shares as soon as practicable after the Effective Date.

Following the Sub-division, the Company expects that its share capital will consist of 501,622,296 ordinary shares of 25/48ths of a penny each, of which 4,072,590 shares will be held in treasury. The total number of voting rights in the Company will therefore be 497,549,706. The Company will make a further announcement on Monday 27 June 2016 confirming details of its issued share capital immediately following the implementation of the Sub-division.
