The board of directors ("Board") of Esprit Holdings Limited (the "Company") makes this announcement pursuant to Rule 13.51B(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and with reference to the Company's previous announcement made on 2 January 2009.

Mr Alexander Reid Hamilton ("Mr Hamilton"), an Independent Non-executive Director of the Company, was formerly an independent non-executive director of CITIC Limited (formerly known as CITIC Pacific Limited) ("CITIC"). The Securities and Futures Commission ("SFC") announced on 22 October 2008 that a formal investigation into the affairs of CITIC ("SFC Investigation") had been commenced. Mr Hamilton, formerly a director of CITIC, was also a subject of the SFC Investigation.

The SFC Investigation is related to the affairs of CITIC and does not concern, either directly or indirectly, any aspect of the affairs of the Company.

Mr Hamilton has informed the Company that the SFC has issued a letter confirming that he is no longer a person under investigation in relation to the SFC Investigation and that the SFC does not propose to take any action against him on the information currently known to the SFC.

As at the date of this announcement, the Board comprises (i) Mr Jose Manuel Martínez Gutiérrez (Group Chief Executive Officer) and Mr Thomas Tang Wing Yung (Group Chief Financial Officer) as Executive Directors; (ii) Mr Jürgen Alfred Rudolf Friedrich as Non-executive Director; and (iii) Dr Raymond Or Ching Fai (Chairman), Mr Paul Cheng Ming Fun (Deputy Chairman), Dr José María Castellano Ríos, Mr Alexander Reid Hamilton, Mr Carmelo Lee Ka Sze and Mr Norbert Adolf Platt as Independent Non-executive Directors.
