Shareholders approve all proposals - change on Board of Directors

Feintool Annual General Meeting 2014: At the Annual General Meeting of Feintool International Holding AG held on 15 April 2014, the shareholders approved all the proposals. Dr Thomas Muhr was elected as a new member of the Feintool Board of Directors.

At the Ordinary General Meeting of Feintool International Holding AG held on 15 April 2014, the shareholders approved the Annual Report as well as the 2013 financial statements. The proposed dividend distribution of CHF 1.20 per registered share was also accepted. Mr Steffen Schroth stepped down as a member of the Board of Directors. Dr Thomas Muhr was elected as a Director in his place. The other five members of the Board of Directors were re-elected by the General Meeting.

Board members confirmed in their positions
At the meeting of the Board of Directors, existing Chairman Alexander von Witzleben and Deputy Chairman Dr Michael Soormann were re-elected for an additional term. The Audit Committee is made up of Dr Kurt E. Stirnemann (Chair), Alexander von Witzleben, Wolfgang Feil and Dr Michael Soormann. The Nomination and Compensation Committee comprises Dr Michael Soormann (Chair), Alexander von Witzleben and Wolfgang Feil. Thomas A. Erb and Dr Thomas Muhr are further members of the Board. Furthermore, the Board decided to restrict Feintool's Group Management to the CEO and CFO functions in accordance with the provisions of ERCO*.
