Payment of Interest on Shareholders' Equity

Grupo Fleury S.A. ('Fleury' or 'Company') informs to its shareholders, that the Board of Directors at the meeting held today, approved the payment of Interest on Shareholders´ Equity ('ISE'), in the following terms:

The total gross amount of R$ 41,407,771.68 (forty-one million, four hundred and seven thousand, seven hundred and seventy-one reais and sixty-eight cents), corresponding to R$ 0.131540294707668 per share. The amount paid of interest on shareholders' equity, net of withholding income tax, will be allotted to the obligatory dividends related to the fiscal year of 2017.

Credit and payment are subject to the following conditions:

The total amount of interest on shareholders´ equity is subject to withholding income tax at the rate of 15%, except for those that are proven exempt or immune, or shareholders domiciled in countries or jurisdictions for which the legislation establishes different rates.

The amount described above will be based on the shareholding position at the close of B3´s trading session on January 02nd, 2018, and the company's shares shall be traded ex-rights as from and including January 3rd, 2018. The aforementioned payment shall be made on January 15th, 2018.

The payments related to the shares deposited with B3 will be credited in accordance with B3 procedures, which is responsible to transfer the value to the corresponding shareholders through its Custodian Agents.

For the other shareholders, the payment will be made in accordance with their registration with Banco Bradesco S.A., which is the Custodian and Stock Transfer Agent for the Company's shares. For shareholders receiving through Bradesco S.A whose records are outdated, should go to an agency of Banco Bradesco S.A. to update their registration records.
