NOTICE TO THE SHAREHOLDERS

Hypermarcas S.A. ("Hypermarcas" or "Company") in compliance with the provisions of CVM Rulling No. 358/02, informs its shareholders that the Board of Director's Meeting held on February 10, 2017 approved the payment of interim dividends referring to the quarter ended on September 30, 2016, according with the Company's Quarterly Financial Information referred to such period, in the total amount of R$378,036,153.00 (three hundred and seventy-eight million, thirty-six thousand and one hundred and fifty-three Reais), which represents the amount of R$0.60 per share.

The dividends shall be paid on February 24, 2017 to the holders of shares issued by the Company at the end of February 15, 2017, without any monetary adjustments and not subject to withholding income tax, under the terms of Article 10 of the Law No 9.249/95, as follows: (i) to shareholders with updated records with Banco Bradesco S.A., available as of February 24, 2017, in its bank accounts, such as provided to the depositary institution; (ii) to shareholders using the fiduciary custody, through crediting procedures adopted by the Stock Exchanges; (iii) to shareholders who hold its shares under the custody of BM&FBovespa's Center Depositary, through their deposit brokers; and (iv) to the shareholder, which records are not updated, they shall visit a branch of Banco Bradesco S.A. to update its registration in order to receive the amount to they are entitled to.

Finally, the Company informs that the shares issued by the Company will be traded as ex- dividends as from February 16, 2017.
