INTESA SANPAOLO: MERGER BY INCORPORATION OF BANCA DELL'ADRIATICO S.P.A. INTO INTESA SANPAOLO S.P.A.Turin - Milan, 4 April 2016 - Notice is hereby given that on 4 April 2016, the minutes of the Management Board's meeting held on 31 March 2016 were made available at the Company's Registered Office, as well as on the authorised storage system eMarket Storage. At the aforementioned meeting, the Management Board, pursuant to Article 2505, paragraph 2, of the Italian Civil Code, as provided for by Article 17.2 of the Articles of Association, approved the merger by incorporation of Banca dell'Adriatico S.p.A. into Intesa Sanpaolo S.p.A..
On 4 April 2016, a request was filed for the registration of the aforementioned minutes with the Torino Company Register.
