Election of New Members to the Audit Committee

IOCHPE-MAXION SA ("Company"), pursuant to article 30 of CVM Instruction No. 480/09, as amended, hereby informs its shareholders that, considering the termination of the mandate of the Audit Committee, its Board of Directors, at a meeting held on this date, resolved, among other matters, the election of new member to the Audit Committee. The elected members and their respective CVs are the following: Edward Ruiz: Mr. Ruiz holds a Bachelor's degree in Business Administration and Accounting from Pace University in New York, United States in 1971, and an International Executive MBA from FIA in 2011. He has over 45 years of experience in financial auditing and accounting for public companies in the United States and Brazil. He was a partner in the capital markets area of Deloitte Brasil and was a partner in the technical area of Deloitte Brasil. He is a member of boards and committees of several companies, among them: Votorantim Cimentos: Administration (substitute) and member of the Audit Committee since April 2013; Arezzo: Independent member of the Risk, Audit and Finance Committee since September 2013; AES Tietê Energia: member of the Fiscal Council since November 2015; NZ Brasil Produção Animal: member of the Board of Directors; Luiz Antonio Corrêa Nunes Viana de Oliveira: Mechanical Engineer graduated from the Federal University of Rio de Janeiro with a postgraduate degree from PUC-RJ and the London Business School. He was CEO of Makro Atacadista, Net Serviços de Comunicação, Petrobrás Distribuidora and Grupo Pão de Açúcar. He was Director of the Ultra Group, Senior Investment Officer of IFC. He was executive of BNDES and Banco Denasa de Investimentos. He is Chairman of the Board of Directors of Localfrio and member of the Councils of MAM-SP, Renctas and the Brazilian Academy of Cinema, of which he was the founder and first President. He was a member of the Boards of Directors of Aracruz, Arafertil, Copesul, Riocell, Perdigão, Pão de Açúcar and TAM. Member of the Board of Directors of Iochpe-Maxion since 2008; Edmilson Baraldi: Mr. Baraldi holds a degree in Business Administration from the Institute of Applied Sciences in 1973, having specialized courses in financial administration. He has extensive experience in automotive business finance, having worked at Fumagalli, Rockwell, Meritor and Arvin Meritor, including in the United States in 1986 and in the period 2001-2004.
