CHANGES IN EXECUTIVE DIRECTOR AND CHANGES IN BOARD COMMITTEE MEMBER

The Board announces that with effect from 17 August 2016, Mr. Chen Deng Kun has resigned as

an Executive Director of the Company, and ceased to be a member of the Corporate Governance and Strategy Committee.

The board of directors (the "Board") of Kingdee International Software Group Company Limited (the "Company") announces that Mr. Chen Deng Kun (陳登坤) （"Mr. Chen"）has resigned as an

Executive Director of the Company, and ceased to be a member of the Corporate Governance and Strategy Committee (the "Corporate Governance and Strategy Committee") of the Company with effect from 17 August 2016 (the "Resignation").

Mr. Chen is a director of 上海金蝶醫療衛生軟件有限公司 (Shanghai Kingdee Medical Software Co., Ltd.*), which would cease to be a subsidiary of the Company as a result of the transactions disclosed in the announcement of the Company published on 28 July 2016. Mr. Chen is of the view that the Resignation will reduce potential conflict of interest (if any) in the Company's future business operations.

Mr. Lin Bo was appointed as a member of the Corporate Governance and Strategy Committee with effect from 17 August 2016.

Mr. Chen has confirmed that (i) there is no disagreement between himself and the Board; and (ii) there are no matters in relation to his resignation that need to be brought to the attention of The Stock Exchange of Hong Kong Limited (the "Stock Exchange") and the shareholders of the

Company.

The Board would like to take this opportunity to express its appreciation to Mr. Chen for his contributions to the Company during their tenure in office.
