Press release Buy-back offer made by SCHMOLZ+BICKENBACH to holders of 2012-2019 bond

Emmenbrücke, 14 October 2013 - SCHMOLZ + BICKENBACH (SIX Swiss Exchange: STLN) has made a buy-back offer to holders of the EUR 258,000,000 9.875% 2012-2019 bonds issued by SCHMOLZ + BICKENBACH Luxembourg SA (ISIN DE000A1G4PS9 / DE000A1G4PT7). According to the bond's issue conditions, it is obliged to do this following the change of shareholder control of SCHMOLZ+BICKENBACH AG that occurred at the extraordinary general meeting of 26 September

2013.

In accordance with the issue conditions, SCHMOLZ + BICKENBACH Luxembourg SA is offering to repurchase the bonds at 101% of the nominal value plus accrued interest.

Interested parties can exercise their right to take up this offer until 08.11.2013, unless their custodian bank has set an earlier deadline. Repayment of tendered bonds will occur on 15.11.2013.
