On March 18, 2015 Schweitzer-Mauduit announced in a Securities and Exchange Commission ("SEC") Form 8-K filing, that on March 13, 2015, Jeffrey A. Cook, Executive Vice President, Chief financial Officer and Treasurer of the Company, notified the Company of his intention to retire effective April 3, 2015. The Company has initiated a search for Mr. Cook's replacement. Bob Cardin, the Controller of the Company, will assume Mr. Cook's duties until a replacement has been identified.

In addition, Stephen Dunmead, Chief Operating Officer of the Company, notified the Company on March 13, 2015 of his intention to resign from the Company effective April 15, 2015. Mr. Villoutreix, the Chief Executive Officer and Chairman of the Company, will assume Mr. Dunmead's duties. There are no immediate plans to find a permanent replacement for Mr. Dunmead.

On this news, shares of the Company fell $3.35 per share to $43.59, or more than 7.14%, in intra-day trading on March 18, 2015.
