framework agreement with the People's Government of Jurong City, Jiangsu Province, for 「Comprehensive Development Project of New North Town in Jurong」(句容

市北部新城綜合開發項目合作框架協議) 「(

Comprehensive Development Project」).

Under this strategic framework agreement, the Group signed investing and construction agreements of 「Shenzhen International·Jurong Integrated Logistics

Hub」(深國際•句容城市綜合物流港投資協議) 「(

Jurong Logistic Hub Project」) and

「 PPP Investment and Construction Framework Agreement for the Road Construction Project of Shugang Avenue (North) in Jurong City and Jurong Logistic Hub Project」(句容市疏港大道北段及深國際物流園區道路工程項目

PPP 投資建設框架協議) (「Jurong Road Construction PPP Project」).

Comprehensive Development Project is located at the New North Town in Jurong city, which is at the Jurong exit of Shanghai-Nanjing Expressway, south of Shanghai-Nanjing Expressway and east of Tonggang Avenue in Jurong. Shenzhen International obtained the comprehensive priority developing rights for the land and infrastructure facilities of Comprehensive Development Project, in which Jurong Logistic Hub Project has a planned total site area of approximately 400,000 square meters. Shenzhen International will be investing and constructing Jurong Logistic Hub Project whereas the Group's subsidiary, Shenzhen Expressway Company Limited ("Shenzhen Expressway") will be in charge of Jurong Road Construction PPP Project.

Shenzhen International will work with the strategic partners in the comprehensive planning and development of the remaining land and resources to enable the industrial park centering Jurong Logistic Hub to become the key logistic node of Jiangsu Province, and New North Town to become a new industrial town of commerce and trade logistics.

Comprehensive Development Project possesses a prime geographical coverage with mature industrial development and ancillary facilities, favorable investment policy from the local government and ideal land reserve under the framework agreement, which will boost the sustainable development for Shenzhen International's logistics and relevant businesses. It will also be the first attempt for the Group to undergo an integration of logistics hub development and infrastructure construction under the PPP

model, which not only further optimizes the strategic layout of 「China Urban

Integrated Logistics Hub」 but also demonstrates Shenzhen Expressway's capability in the construction and operation of urban infrastructure. Jurong Logistic Hub Project and Jurong Road Construction PPP Project will facilitate the Group's resource integration, complementary strengths and joint development as well as creating the effect of "1+1>2" in the future, hence accelerating the realization of the Group's strategic objectives.
