ALMACENES ÉXITO S.A. INFORMA MUDANÇAS EM SUA ESTRUTURA ACIONÁRIA E O INÍCIO DA NEGOCIAÇÃO DE CERTIFICADOS DE DEPÓSITO DE AÇÕES NÍVEL II NO BRASIL E NOS ESTADOS UNIDOS
De acordo com o projeto anunciado em 5 de setembro de 2022(o "Projeto") por ocasião da redução de capital do GPA (a "Redução de Capital") e conforme informado ao mercado nas informações relevantes publicadas 10 de agosto,5 de setembroe 30 de dezembrode 2022, e 9 de janeiro,15 de fevereiro,4e 17 de abrile 3 de julhode 2023, a Almacenes Éxito S.A. (a "Companhia" ou "Éxito") anuncia a conclusão da transferência de 1.080.556. 276 ações ordinárias em circulação do Éxito de propriedade da Companhia Brasileira de Distribuição ("GPA") (equivalente a 83,26% das ações ordinárias em circulação do Éxito) para o Programa de Brazilian Depositary Receipts Level II ("BDRs Nível II") do Éxito - Itaú Unibanco S. A. - Programa BDR para o Programa Éxito American Depositary Receipts Level
- ("ADRs Level II") - J.P. Morgan Chase Bank NA FOB Holders of DR (Éxito ADR Program), cujo custodiante local é o BNP Paribas Securities Services Sociedad Fiduciaria. Com a realização dessas transferências, houve alterações na participação acionária do Éxito em mais de 5% de seu capital, razão pela qual a nova composição acionária resultante é informada por meio do relatório dos 25 principais acionistas:

AND THE BEGINNING OF TRADING OF LEVEL II DEPOSITORY RECEIPTS IN
BRAZIL AND THE UNITED STATES
Pursuant to the project announced on September 5, 2022(the "Project") on the capital reduction of GPA (the "Capital Reduction") and as disclosed to the market in the relevant information published on August 10,September 5and December 30, 2022, and January 9,February 15,April 4and 17, and July 3, 2023, Almacenes Éxito S.A. (the "Company" or "Éxito") hereby informs the completion of the transfer of the 1,080,556. 276 outstanding common shares of Éxito owned by Companhia Brasileira de Distribuição ("GPA") (equivalent to 83.26% of Éxito's outstanding common shares) to Éxito's Brazilian Depositary Receipts Level II Program ("BDRs Level II") | Itaú Unibanco S. A. - BDR Program to Éxito's American Depositary Receipts Level II Program ("ADRs Level II") | J.P. Morgan Chase Bank NA FOB Holders of DR (Éxito ADR Program), whose local custodian is BNP Paribas Securities Services Sociedad Fiduciaria.
