American Caresource Holdings, Inc. (NasdaqCM:ANCI) agreed to acquire Medac Health Services, P.A. for $5.6 million on July 31, 2015. American Caresource Holdings will pay $4.99 million in cash, $0.61 million in escrow and $0.56 million in notes. American CareSource will manage the operations of Medac's four urgent care centers and its staffing business. Medac Health has reported total assets and shareholder's equity of $2.43 million and net income of $0.54 million for the year ended December 31, 2014. The transaction is subject to obtaining financing. On October 20, 2015, the acquisition closing was postponed to November 20, 2015 and then to December 20, 2015. W. Berry Trice of Murchison Taylor & Gibson acted as legal advisor for Medac Health Services.
