FATO RELEVANTE

Americanas S.A. - Em Recuperação Judicial ("Americanas" ou "Companhia"), em atendimento ao disposto no art. 157, §4º da Lei nº 6.404/76 e na Resolução CVM nº 44, de 23 de agosto de 2021, e em continuidade aos Fatos Relevantes divulgados em 24 de março de 2023, 4 de maio de 2023, 3 de agosto de 2023 e 30 de agosto de 2023, e aos Comunicados ao Mercado divulgados em 31 de maio de 2023 e em 14 de julho de 2023, vem informar aos seus acionistas e o mercado em geral o adiamento da divulgação das informações trimestrais - ITR da Companhia dos períodos findos em 31 de março de 2023, 30 de junho de 2023 e 30 de setembro de 2023 (em conjunto, "ITRs/23"), cuja preparação e revisão estavam sujeitas à finalização das demonstrações financeiras do exercício social findo em 2022 e da reapresentação das demonstrações financeiras do exercício social findo em 2021 ("DFs 22 e DFs 21").

Desde a divulgação das DFs 22 e DFs 21 ao mercado em 16 de novembro de 2023, a Companhia tem concentrado seus esforços em concluir os trabalhos dos ITRs/23 na maior brevidade possível e, neste momento, a melhor estimativa é de divulgá-las até 31 de janeiro de 2024.

A Companhia manterá seus acionistas e o mercado em geral informados sobre o desenvolvimento dos assuntos objeto deste Fato Relevante.

MATERIAL FACT

Americanas S.A. - Em Recuperação Judicial ("Americanas" or "Company"), in compliance with the provisions of article 157, paragraph 4 of Law No. 6,404/76 and of CVM Resolution No. 44, of August 23, 2021, and in continuity with the Material Facts disclosed on March 24, 2023, May 4, 2023, August 3, 2023 and August 30, 2023, and the Notices to the Market published on May 31, 2023 and July 14, 2023, hereby informs its shareholders and the market in general of the postponement of the disclosure of the Company's quarterly information - ITR for the periods ended on March 31, 2023, June 30, 2023 and September 30, 2023 (collectively, the "ITR's/23"), whose preparation and review were subject to the completion of the financial statements for the year ended in 2022 and to the restatement of the financial statements for the year ended in 2021 ("FS 22 and FS 21").

Since the disclosure of the FS 22 and FS 21 to the market on November 16, 2023, the Company has been concentrating its efforts on completing the work on the ITR's/23 as soon as possible and, currently the best estimate is to disclose such information until January 31, 2024.

The Company will keep its shareholders and the market in general informed about the development of the matters covered by this Material Fact.
