ANNOUNCEMENT ON APPROVAL OF
THE QUALIFICATION OF CHAIRMAN
RE-DESIGNATION OF PRESIDENT
Reference is made to the announcement of Bank of Tianjin Co., Ltd. (the "Bank") titled "CHANGE OF CHAIRMAN" dated July 28, 2020 (the "Announcement"), in relation to the election of Mr. Sun Liguo as the Chairman of the Bank, which is subject to the approval of his qualification by Tianjin Regulatory Bureau of CBIRC (the "CBIRC Tianjin Office"). Please refer to the Announcement for biographical details of Mr. Sun Liguo.
The Bank has recently received Approval on the Qualification of Sun Liguo (Jin Yin Bao Jian Fu [2020] No. 318) from CBIRC Tianjin Office, which approved the qualification of Mr. Sun Liguo to hold office as the Chairman of the Bank. According to relevant regulation, the term of office of Mr. Sun Liguo as the Chairman of the Bank commenced from August 27, 2020.
Given the above re-designation, Mr. Sun Liguo applied to resign as the President of the Bank. A meeting of board of directors (the "Board") was convened in accordance with the Guidelines on the Corporate Governance of Commercial Banks and the Articles of Association of the Bank to approve the resignation of Mr. Sun Liguo.
Mr. Sun Liguo has confirmed that he has no disagreement with the Board and there are no other matters in relation to his resignation as the President that need to be brought to the attention of the shareholders of the Bank or The Stock Exchange of Hong Kong Limited.

At the same time, in order to ensure the smooth transition and orderly handover of the various tasks of the senior management of the Bank, as approved by the Board, Mr. Sun Liguo will serve as acting President before the appointment of the new President.

As at the date of this announcement, the members of the board of directors of the Bank comprises Mr. SUN Liguo and Ms. ZHANG Furong, as executive directors; Ms. SUN Jingyu, Ms. DONG Guangpei, Mr. Alistair Marshall Bulloch, Mr. ZHAO Wei, Mr. WANG Shunlong and Ms. LI Jun as non-executive directors; Mr. FENG Heping, Mr. LAW Yee Kwan, Quinn, Mr. JIN Qingjun, Mr. HUA Yaogang and Mr. HE Jia as independent non-executive directors.
Bank of Tianjin Co., Ltd. is not an authorised institution within the meaning of the Banking Ordinance (Chapter 155 of Laws of Hong Kong), not subject to the supervision of the Hong Kong Monetary Authority, and not authorised to carry on banking/deposit-taking business in Hong Kong.
