FATO RELEVANTE

A BR PROPERTIES S.A. ("Companhia") (BRPR3), nos termos do disposto na Resolução CVM 44/2021, em continuidade aos fatos relevantes divulgados nos dias 3 e 24 de janeiro de 2023, vem apresentar informações atualizadas sobre as próximas etapas com vistas à consumação da redução do capital social da Companhia aprovada pela assembleia geral extraordinária realizada em 24 de janeiro de 2023 ("AGE"), no valor total bruto R$2.510.809.856,20 ("Redução de Capital") mediante restituição aos acionistas de (a) uma parcela em dinheiro no valor total de R$1.276.000.000,00 e (b) uma parcela em cotas do BRPR Corporate Offices Fundo de Investimento Imobiliário (CNPJ 48.978.859/0001-04) ("FII") no valor de R$1.234.809.856,20.

O prazo legal de 60 dias para oposição de credores, após o qual a Redução de Capital se tornará eficaz nos termos do art. 174 da Lei nº 6.404/76, se encerrará em 26 de março de 2023.

Os acionistas da Companhia na data base de 4 de abril de 2023(inclusive) ("Data de Corte") terão direito ao recebimento da restituição de capital, desde que a Redução de Capital se torne efetiva sem oposição de credores. Dessa forma, as ações de emissão da Companhia passarão a ser negociadas ex-direitos da restituição de capital a partir de 5 de abril de 2023(inclusive).

Os acionistas da Companhia na Data de Corte terão direito a receber:

1. o valor de R$ 109,897567887586 por ação em relação à parcela em dinheiro da Redução de Capital; e
2. uma cota do FII para cada uma ação de emissão da Companhia de sua titularidade, cujo valor de mercado atribuído para fins da redução de capital corresponde a R$106,35 por ação.

A parcela em dinheiro e a parcela in natura totalizam, em conjunto, o valor de R$216,247567887586 por ação para fins da Redução de Capital, considerando a quantidade atualizada de 11.610.812 ações ordinárias e escriturais (ex-tesouraria), já considerando o o grupamento aprovado na AGE e concluído em 24 de fevereiro de 2023.

A entrega das cotas do FII será realizada em 5 de abril de 2023, data em que as cotas já poderão ser negociadas na B3 S.A. - Brasil Bolsa Balcão. O pagamento da parcela em dinheiro da Redução de Capital deverá ser realizado até 19 de abril de 2023.

Nesta data, a Companhia divulga também aviso aos acionistas detalhando as informações e os documentos que deverão ser entregues à Companhia pelos acionistas não residentes no Brasil para a apuração de eventual imposto de renda a ser retido na fonte decorrente de ganho de capital por eles apurado em decorrência da Redução de Capital. Os tributos a serem retidos na fonte serão retidos da parcela em dinheiro da Redução de Capital.

MATERIAL FACT

BR PROPERTIES S.A. ("Company") (BRPR3), pursuant to the provisions of CVM Resolution No. 44/2021, following the material facts disclosed on January 3 and 24, 2023, hereby presents updated information on the next steps towards the completion of the Company's capital reduction by the shareholders' extraordinary general meeting held on January 24, 2023 ("EGM"), in the gross amount of BRL2,510,809,856.20 ("Capital Reduction") by means of the distribution to shareholders of (a) cash in the total amount of BRL1,276,000,000.00; and (b) quotas of the BRPR Corporate Offices Fundo de Investimento Imobiliário (CNPJ 48.978.859/0001-04) ("FII") in the amount equivalent to BRL 1,234,809,856.20.

The 60-day period for creditors to raise objections on the Capital Reduction, after which the Capital Reduction will become effective pursuant to article 174 of Law No. 6,404/76, will end on March 26, 2023.

The shareholders of the Company on the base date of April 4, 2023(including) ("Cut-offDate") will be entitled to receive the capital refund, provided that the Capital Reduction becomes effective without objection from creditors. Accordingly, shares issued by the Company will be negotiated ex-rights of to the capital refund as of April 5, 2023(including).

The shareholders of the Company as of the Cut-Off date:

1. BRL 109.897567887586 per share in relation to the cash portion of the Capital Reduction; and
2. one quota of the FII for each share owned by the shareholder, whose market value calculated for the purposes of the Capital Reduction corresponds to R$106.35 per share.

The cash portion and the in natura portion jointly represent the total the amount of R$216.247567887586 per share for the Capital Reduction purposes, considering the total of 11,610,812 common shares (ex-treasury). The total common shares already considers the effects of the reverse stock split approved at the EGM and completed on February 24, 2023.

The FII quotas will be delivered on April 5, 2023, the date on which the FII quotas will be traded on B3 S.A. - Brasil Bolsa Balcão. Payment of the capital reduction installment in cash will be made by April 19, 2023.

On the date hereof, the Company also releases a notice to shareholders detailing the information and documents that must be delivered to the Company by shareholders who are not resident in Brazil for the purposes of calculating any withholding income taxes on capital gains related to the Capital Reduction. Withholding tax will be withheld from the cash portion of the Capital Reduction.
