MATERIAL FACT

BR Properties S.A. ("Company"), in continuity to the material facts disclosed on January 13, February 17, March 10, 21 and 24, 2023, informs its shareholders and the market in general that the Company received a notice from Slabs Investimentos Ltda. ("Offeror") informing the result of the auction ("Auction") for the tender offer for the acquisition of control of the Company ("Tender Offer") held today ("Auction Date"), pursuant to the public notice published on March 10, 2023 and resubmitted on March 21, 2023 ("Tender Offer Notice").

According to such notice, which copy is attached to this material fact, the Offeroracquired 10,419,613 (ten million, four hundred nineteen thousand, six hundred thirteen) common shares issued by the Company, representing 89.74% of its total capital stock, at a price per share of R$64.00, for the total amount of R$ 666,855,232.00 (six hundred sixty-six million, eight hundred fifty-five thousand, and two hundred and thirty-two reais). Pursuant to item 2.4.2 of the Tender Offer Notice, the shareholders who did not sell their shares at the Auction may sell them to the Offer during 30 (thirty) days as from the Auction Date, i.e., until May 10, 2023.

It is also worth noting that the financial settlement of the Auction will occur on April 13, 2023, as provided for in the Tender Offer Notice. In addition, as approved by the shareholders´ extraordinary general meeting of the Company held on February 17, 2023, the success of the Tender Offer will result in the voluntary withdrawal of the Company from Novo Mercado with the waiver of the tender offer under the terms of article 44 of the Novo Mercado Regulation, with the resulting conversion to the basic listing segment of B3.
