NOTICE TO SHAREHOLDERS

BR Properties S.A. ("Company"), in continuity to the material facts disclosed on January 13, February 17, March 10, 21 and 24, 2023 and April 10, 2023, in reference to the tender offer ("Tender Offer") for the acquisition of the Company's control launched by Slabs Investimentos Ltda. ("Offeror") whose auction was held on April 10, 2023, inform that received on this date the communication attached to this notice, sent by the Offeror, detailing the procedures to be carried out by the Company's shareholders who intend to sell the shares they hold to the Offeror until May 10, 2023, pursuant to item 2.4.2 of the Tender Offer Notice disclosed on March 10, 2023 and resubmitted on March 21, 2023.

Procedure related to the remaining shares - BR Properties Tender Offer Auction

In connection with the conclusion of the bid of the voluntary tender offer for the acquisition of control of BR Properties S.A. held on April 10, 2023, the offeror, Slabs Investimentos Ltda., informs that shareholders who wish to sell their shares under the terms of item 2.4.2 of the Announcement of the offer, must follow the steps below, respecting the deadline of May 10, 2023:

For physical delivery of the documents:

1º: contact your broker (custody agents) to request the transfer of the shares from B3's (stock exchange) environment into Itaú's book-entry system;

2º: fill out the Formulário de Transferênciaform, available at this link, and sign it notarized;

3º: deliver the Formulário de Transferênciaform and other necessary documents (as indicated on the form), to one of Banco Itaú's branches or by mail to the following address:
