Reference is made to the announcements of the Company dated July 21, 2017 and July 28, 2017 (the "Announcements") in respect of the acquisition of 45.78% equity interest in the Target Company. Unless otherwise defined hereunder, the capitalized terms used herein shall have the same meanings as those defined in the Announcements.

The Board is pleased to announce that all the conditions precedent under the Sale and Purchase Agreement have been fulfilled and the Completion took place on August 11, 2017 in accordance with the terms and conditions of the Sale and Purchase Agreement. As of the date of this announcement, the Target Company is owned as to 45.78% by the Company.
