Carlit Holdings Co., Ltd. (TSE:4275) signed a share transfer contract to acquire 73.08% stake in Toyo Hatsujo Kogyo Co., Ltd. from 9 individuals on February 14, 2014. Carlit Holdings Co., Ltd. will acquire 0.59 million shares. During the period ending September 2013, Toyo Hatsujo Kogyo Co., Ltd. had total assets of ¥3.12 billion, net assets of ¥470 million, sales of ¥3.03 billion, operating profit of ¥152 million, current profit of ¥141 million, and net income of ¥83 million.
Yoshiki Takagi will join as Director and President, Masashi Honda will join as Director and Managing Executive Officer, Representative Director and Chairman, Director and Senior Managing Executive Officer, and Director and auditor will be appointed from Carlit Holdings Group which will be decided in the fixed shareholders meeting and Board of Directors meeting on February 28, 2014. Board of Directors of Carlit Holdings made a resolution in favor of the transaction on February 14, 2014. The transaction is expected to close on February 28, 2014.
Carlit Holdings Co Ltd is a Japan-based company mainly engaged in the chemicals, bottling, industrial materials, and engineering services business. It operates through four business segments.
