CD International Enterprises, Inc. (OTCPK:CDII) entered into an agreement to acquire China Manor Assets Investment Management Company from Xiangjun Wang for $5 million in stock on March 7, 2016. Under the terms of transaction, CD International will issue to Xiangjun Wang 1.67 million shares of its Series G Convertible Preferred Stock with a total market value of $5 million and preferred stock can be converted to CD International's common stock upon a listing of common stock on NYSE or NASDAQ. The convertibility ratio is one share of the preferred stock to one thousand shares of Company's common stock. Once preferred shares are converted, Xiangjun Wang will get approximately 70% of CD International's common stock. The transaction has been unanimously approved by our Board of Directors of CD International.
