("CHP") and ENGIE Services (Philippines) entered into a Memorandum of Understanding whereby the parties have agreed to explore potential renewable projects and energy efficiency solutions to benefit CHP's or its affiliates' project sites in the Philippines. So far, the parties have not identified any concrete or definitive projects to implement. This Memorandum of Understanding did not create any legally binding obligations on each party, and specific undertakings will be subject to the signing of definitive agreements and necessary regulatory approvals.
