APSYS SAS acquired 89.11% stake in CFI-Compagnie Foncière Internationale (ENXTPA:CFI) from Yellow Grafton S.C. for €0.63 million on January 12, 2018. Yellow Grafton sold its entire shareholding of 0.76 million shares in CFI-Compagnie Foncière Internationale at approximately €0.83 per share. APSYS SAS equity financed this acquisition. In accordance with articles 234-2 and following, of the General Regulation of the French Financial Markets Authority (Autorité des marchés financiers, «AMF»), APSYS will file with the AMF a simplified public tender offer draft, at a price of €0.83 per share, on all the outstanding shares of CFI-Compagnie Foncière Internationale that APSYS SAS does not currently own. This offer will not be followed by a mandatory squeeze out. APSYS SAS contemplates to proceed over the coming months, with a business combination through the merger-absorption of CFI-Compagnie Foncière Internationale by APSYS SAS. This transaction will be executed with a view to complete the listing of APSYS SAS in order to accelerate its development plan. The transaction would require the AMF granting a visa on a prospectus. APSYS SAS would be transformed in a French société en commandite par actions within one year. Following the acquisition of CFI-Compagnie Foncière Internationale by APSYS SAS, the composition of the Board of Directors of CFI-Compagnie Foncière Internationale has changed. The Board of Directors is now composed of Maurice Bansay, Fabrice Bansay, Financière Apsys (represented by Claire Vandromme), Vanessa Fricano, and Delphine Benchetrit, in her quality as independent member of the Board of Directors. Maurice Bansay has been appointed Chief Executive Officer. APSYS SAS completed the acquisition of 89.11% stake in CFI-Compagnie Foncière Internationale (ENXTPA:CFI) from Yellow Grafton S.C. on January 12, 2018.
