Comrit Investments 1 LP agreed to acquire 5.2% stake in CNL Healthcare Properties, Inc. for $41.9 million on August 3, 2020. Under the terms of agreement, Comrit purchased up to 9 million shares of common stock, par value $0.01 per share (the “Shares”), in CNL Healthcare Properties, Inc. (the “Corporation”), the subject company, at a purchase price equal to $4.66 per share in cash, upon the terms and subject to the conditions set forth in the Offer to Purchase. Comrit intends to fund purchase price out of its of its existing capital and assets. The offer to purchase is not conditioned upon any minimum number of shares being tendered. This offer expires on September 18, 2020. Comrit has retained Central Trade & Transfer, LLC as transfer agent and will pay CTT a fee in the amount of 2% of the aggregate purchase price with $5,000 administrative fee. Comrit will pay Independent Financial Group, LLC (“IFG”), member FINRA and SIPC, 5% of the aggregate purchase price in connection with the Offer. Plotkin Financial Advisors, LLC acted as financial advisor to Comrit and received 4.5% of the aggregate purchase price as fees.

The offer resulted in the tender by shareholders of a total of 339,945 shares. Following the purchase of all of the tendered shares, Comrit will own an aggregate of approximately 339,945 Shares, or approximately 0.2% of the total outstanding shares.
CNL Healthcare Properties, Inc. is a real estate investment trust (REIT). The Company operates through a single segment, real estate ownership, which consists of owning, managing, leasing, acquiring, developing, investing in, and as conditions warrant, disposing of real estate assets. The Companyâs seniors housing investment portfolio consisted of interests in 70 properties, consisting of a geographically diversified portfolio of 69 seniors housing communities and one vacant land parcel. The types of seniors housing properties that the Company owns include independent and assisted living facilities, continuing care retirement communities and Alzheimerâs/memory care facilities. It has primarily leased its seniors housing properties to wholly owned CHP TRS Holding, Inc. (TRS) entities and engaged independent third-party managers to operate the properties. It is externally managed and advised by CNL Healthcare Corp.
