Cosmos Group Holdings Inc. entered into a Share Exchange Agreement Version 2021001 to acquire a 51% stake in NFT Limited from Chan Yik Hei, Lau Cheuk Yiu, Tan Mei San Delphine and Ta Ka Hen Gary for $15.8 million.

Cosmos Group Holdings Inc. (OTCPK:COSG) entered into a Share Exchange Agreement Version 2021001 to acquire a 51% stake in NFT Limited from Chan Yik Hei, Lau Cheuk Yiu, Tan Mei San Delphine and Ta Ka Hen Gary for $15.8 million on October 15, 2021. The consideration shall be paid by issuing 1.974185 million shares of common stock of Cosmos Group. Chan Yik Hei will sell 1,530 shares in exchange for 592,250 Cosmos common stock; Lau Cheuk Yiu will sell 1,275 shares in exchange for 493,548 Cosmos common stock; Tan Mei San Delphine will sell 1,275 shares in exchange for 493,548 Cosmos common stock; and Ta Ka Hen Gary will sell 1,020 shares in exchange for 394,839 Cosmos common stock.

The transaction is subject to regulatory approval and consummation of due diligence and is expected to close by December 31, 2021.
