County International Limited (ASX:CCJ) entered into an agreement to acquire Polymet Pty Ltd on December 13, 2021. The acquisition of 100% of the Polymet shares is through issuing County shares and options to Polymet shareholders that will result in Polymet shareholders owning 14% of the issued capital of County. As part of the transaction, CIL will Issue 0.8 million ordinary options and 1.2 million performance options to the Polymet shareholders which are based on performance criteria. In a related transaction, County has reached agreement to acquire a group of four companies which amongst them hold title to eight copper/gold exploration tenements. County will add new member, Mart Rampe from Polymet to the County Board. The acquisition will be subject to meeting ASX and other regulatory requirements and will require shareholder approval at a meeting to be held in early 2022. Under the terms of the acquisition, County will issue 4.4 million shares at AUD 0.20 per share and options at AUD 0.28 per option.

County International Limited (ASX:CCJ) cancelled the acquisition of Polymet Pty Ltd on June 21, 2022. However, the Company and shareholders of Polymet have agreed revised terms for the acquisition of Polymet with the
contract being finalised and signed shortly.
