dotdigital Group plc announced the following changes to the Board of Directors. Frank Beechinor-Collins, Non-Executive Chairman of dotdigital, moved into a full-time executive position as CEO of SmartSpace Software plc in July 2018. That role has progressed to take more of his time over the past 6 months and as a result he has decided to step down from his role as Chairman of dotdigital, a position he has held for the past 8 years. Richard Kellett-Clarke, currently a Non-Executive Director of dotdigital, will take on the role of Chairman. The Company will look to appoint a new Chairman no later than October 2020, at which point Richard will have served 9 years on the Board. Alongside the appointment of Richard as Chairman, the Board has undertaken a review of its composition in line with the QCA Corporate Governance Code. Accordingly, Peter Simmonds, Non-Executive Director, has confirmed to the Company he will be stepping down as Director with immediate effect. Peter is a former Executive of the Company and has served as Director of dotdigital for 10 years. The Company is also pleased to announce that Boris Huard has been appointed as an independent Non-Executive Director of the Company with immediate effect. Boris is currently the UK&I Managing Director for Experian Decision Analytics and has held various other roles ranging from divisional managing director to Chief Executive Officer and Board Director. He has previously held positions with Sword CTSpace, Maxima plc and LogicaCMG. The above changes will take effect on 26 March 2019 to ensure that the Company moves further towards the Board's independence criteria for Non-Executive Directors, as defined by the QCA Corporate Governance Code. The Company continues to work towards full compliance with the criteria.
