CARIBOO COPPER CORP. Share Transfer

DOWA HOLDINGS CO., LTD. (14-1, Sotokanda 4-chome, Chiyoda-ku, Tokyo; Capital: 36.4 billion yen; President: SEKIGUCHI Akira; hereinafter "the Company") hereby announces that DOWA METALS & MINING CO., LTD. (same location; Capital: 1 billion yen; President: SUYAMA Toshiaki ; hereinafter "DMM"), its subsidiary, holds a 25% share in CARIBOO COPPER CORP. (hereinafter "CCC") which in turn holds a 25% share in the Gibraltar copper mine located in Canada. On this occasion, DMM has agreed with TASEKO MINES LIMITED (hereinafter "TASEKO"), which also owns a 50% share in CCC, that DMM will sell all of CCC shares it holds to TASEKO.

The DOWA Group has established the evolution of recycling-oriented business model as a basic strategy and decided to promote enhancing metal recycling as one of the priority initiatives in its medium-term management plan, Midterm Plan 2024. Based on this plan and to concentrate its management resources in the metal recycling business, the Company has decided to terminate the tolling contract between DMM and Onahama Smelting and Refining Co., Ltd. as of the end of March 2023. We have concurrently reviewed our investment in copper mining interests and as a result, decided to implement the share transfer at this stage.
