PKN Orlen signed an agreement with its unit, power group Energa, to cooperate in construction of a CCGT power plant in Ostroleka and vowed to grant Energa up to PLN 1.55 billion financing if need be. Under the deal, Energa will acquire 50% plus 1 share of the 51% pool attributable to Energa and PKN Orlen jointly in a new SPV CCGT Ostroleka. PKN Orlen will acquire the remaining shares from that pool.

PKN Orlen will also provide up to PLN 1.55 billion ln financing to Energa if there is a risk that he latter might breach the financing requirements. In December 2020, PKN Orlen, Energa and PGNiG established that the construction of a new gas-fueled Ostroleka C power plant would be carried out via a new SPV CCGT Ostroleka, with 51% of the share capital attributable to PKN Orlen and Energa, and the remaining 49% attributable to PGNiG. GNiG will join the Ostroleka project only upon fulfillment of conditions specified in the original investment agreement.

Should PGNiG fail to join the SPV, the 49% pool of shares attributable to it will be acquired by PKN Orlen.
