Eneva anuncia início de reestruturação da dívida de sua subsidiária CELSE - Centrais

Elétricas de Sergipe S.A.

Rio de Janeiro, 13 de setembro de 2023 - ENEVA S.A. ("Eneva" ou "Companhia") (B3: ENEV3), em atendimento ao disposto no artigo 157, § 4.º da Lei n.º 6.404, de 15 de dezembro de 1976, e na Resolução CVM n.º 44, de 23 de agosto de 2021, informa aos seus acionistas e ao mercado em geral que teve início nesta data o projeto de reestruturação do total da dívida remanescente da CELSE - Centrais Elétricas de Sergipe S.A., subsidiária da Eneva ("Reestruturação da Dívida CELSE").

A Reestruturação da Dívida CELSE (i) se iniciará por meio de solicitação aos noteholders, detentores de títulos de dívida ("Notes") emitidos por Swiss Insured Brazil Power Finance S.à r.l. ("LuxCo") no mercado externo, com vencimento em 2032 e remunerados a uma taxa de 9,850% (nove vírgula oitenta e cinco por cento) ao ano, os quais são garantidos pela CELSE, relacionada ao consentimento para aprovação de determinadas alterações à escritura que regula a 1ª emissão de Debêntures Simples da CELSE, Não Conversíveis em Ações, da Espécie com Garantia Real, em Série Única ("Debêntures"); e (ii) estará sujeita à obtenção de consentimentos dos detentores das Notes e dos demais credores da CELSE para celebração de determinados aditivos à escritura de emissão das Notes, à escritura das Debêntures e de outros documentos com o objetivo de renegociar certos termos e condições da dívida CELSE, bem como de aprovações pelos órgãos de governança das partes.

MATERIAL FACT

Eneva announces debt restructuring of its subsidiary CELSE - Centrais Elétricas de Sergipe S.A.

Rio de Janeiro, September 13, 2023 - ENEVA S.A. ("Eneva" or "Company") (B3: ENEV3), in compliance with the provisions of article 157, paragraph 4 of Law no. 6,404, of December 15, 1976, and CVM Resolution no. 44, of August 23, 2021, informs its shareholders and the market in general that the restructuring project for the total remaining debt of CELSE - Centrais Elétricas de Sergipe S.A., a subsidiary of Eneva, ("CELSE Debt Restructuring") began on this date.

The CELSE Debt Restructuring (i) shall be implemented through a request for the noteholders of debt securities ("Notes") issued by Swiss Insured Brazil Power Finance S.à r.l. ("LuxCo") in the foreign market, maturing in 2032 and remunerated at a rate of 9.850% (nine point eighty-five percent) per year, which are guaranteed by CELSE, related to the consent to approve certain changes to the indenture which regulates the First Issuance of Simple Debentures of CELSE, Non-Convertible into Shares, of the Kind with Collateral, in a Single Serie ("Debentures"); and (ii) is subject to obtaining the consent of the Notes holders and other debt holders of CELSE to execute certain amendments to the indenture of the Notes, to the indenture of the Debentures and other documents with the purpose of renegotiating certain terms and conditions of CELSE's debt, as well as approvals by the governance bodies of the parties.
