eUnits 2 Year U.S. Market Participation Trust: Upside to Cap / Buffered Downside (the Trust) is a diversified, closed-end management investment company. The Trust seeks to provide investors purchasing units of beneficial interest (Units) in the initial public offering the opportunity to earn returns over the investment life of the Trust based on the price performance of the S&P 500 Composite Stock Price Index (the Index), by entering into over-the-counter private derivative contracts, as described herein. The Company will invest 75% of its total assets, it may not invest more than 5% of its total assets in the securities of any one issuer, and it may not own more than 10% of the outstanding voting securities of any one issuer. The Trust's investment adviser and administrator is Eaton Vance Management (Eaton Vanceor).
