TELEPIZZA GROUP, S.A. ("Telepizza Group" or the "Company"), in compliance with articles 16 and 17 of Regulation (UE) Nº 596/2014 of the European Parliament and Council, of 16 April 2014, on market abuse and in article 228 of the revised text of Stock Exchange Law approved by Royal Decree 4/2015 of October 23, hereby communicates the following:

As a result of recent information appearing in the media, Telepizza Group informs that it is currently holding conversations with Yum! Brands Inc. regarding the conditions under which the Company could operate Pizza Hut stores in various markets, including Latin America, together with other collaboration schemes between Tele Pizza and Pizza Hut. However, the acquisition by YUM! Brands, Inc. of a stake in Telepizza Group is not being contemplated.

The conversations are ongoing and, therefore, it cannot be assured that there will ultimately be an agreement between both companies.

Should said conversations be successful and result in a binding agreement, Telepizza Group will inform the market of the details of said agreement, which shall be submitted to the General Shareholders Meeting of the Company for approval, in compliance with current legal requirements.
