The Company has issued 2,461,863 units of the Company at a price of $0.35 per unit, for aggregate gross proceeds of $861,652.10. Each unit is composed of one common share and one-half common share purchase warrant, with each whole warrant exercisable at $0.70 for a period of two (2) years from the date of issuance, subject to an accelerated expiry should the common shares of the Company close at or above $1.00 on the Canadian Securities Exchange for 10 consecutive trading days; The Company intends to use the net proceeds of the offering toward general working capital.

All securities issued in connection with the offering will be subject to a four-month-and-one-day hold period under applicable securities laws.
