Indicative Announcement on the Change in the Equity Interest of Shareholders
Holding More Than 5% of Shares
The board of directors (the "Board") of the Company and all directors warrant that there are no false representations, misleading statements or material omissions in this announcement, and jointly and severally accept responsibility for the truthfulness, accuracy and completeness of the content herein contained.
Important notice:
From 13 November 2021 until now, Dajia Life Insurance Co., Ltd., being the information disclosure obligator, has reduced its shareholding in the Company by a total of 5%; after the change of equity interest, its shareholding in the Company has decreased to 10.43%.
The above change in equity interests is a reduction of shareholding, which fails to trigger a tender offer or result in the change of control over the Company.
On 8 December 2021, Gemdale Corporation (hereinafter referred to as " Gemdale" or the "Company") received the "Letter of Notification on Changes in the Shares of Gemdale Corporation" and "Report on Changes in Equity Interest of Gemdale Corporation in Simplified Form" from the shareholder of the Company, Dajia Life Insurance Co., Ltd. (hereinafter referred to as " Dajia Life" or the " Information Disclosure Obligator ").
As of 12 November 2021, Dajia Life held 696,609,725 ordinary shares of the
Company, representing 15.43% of the Company's total share capital.
From 18 November 2021 to 19 November 2021, Dajia Life reduced its holdings of 47,196,200 shares of the Company in total via call action, representing 1.05% of the total share capital of the Company. For details of the above, please refer to the Indicative Announcement on the Reduction of over 1% in the Holdings of the Company's Shares by Shareholders Holding More Than 5% of Shares (Announcement No. 2021-064) disclosed by the Company on 20 November 2021.
From 20 November 2021 to the end of November 2021, Dajia Life transferred 33,299,100 shares by way of call auction, representing 0.74% of the total share capital of the Company. In December 2021, Dajia Life transferred 9,700,000 shares by way of call auction, representing 0.21% of the total share capital of the Company, and 135,533,900 shares by way of block trades, representing 3.00% of the total share capital of the Company. Since the disclosure of the indicative announcement dated 20 November, the total number of shares of the Company held by Dajia Life has been reduced by 178,533,000 shares, representing 3.95% of the total share capital of the Company.
Since 13 November until now, Dajia Life has reduced its shareholding in the Company by a total of 225,729,200 shares, accounting for 5.00% of the total share capital of the Company.
