The European Commission has cleared, under the EU Merger Regulation, the acquisition of joint control of Smart Clinic by Generali Italia, Gruppo San Donato (GSD) and GK Holding Italia, all three Italian companies.

The transaction mainly concerns the provision of outpatient healthcare and diagnostic tests.

The Commission concluded that the notified transaction would not raise competition concerns, given Smart Clinic's negligible activities in the European Economic Area and the companies' limited market positions resulting from the proposed transaction.

The notified transaction was examined under the simplified merger review procedure.
