CHANGE OF COMPANY SECRETARY

The board of directors (the "Board") of Golden Resources Development International Limited (the "Company") hereby announces that:

1. Mr. LEUNG Chi Keung has resigned as Company Secretary of the Company with effect from 7 February 2020; and
2. Mr. CHEUK Yuk Lung has been appointed as Company Secretary of the Company with effect from 7 February 2020.

Mr. LEUNG Chi Keung has confirmed that he has no disagreement with the Board and that he is not aware of any matters relating to his resignation that needs to be brought to the attention of the shareholders of the Company.

Mr. CHEUK Yuk Lung is a fellow member of The Association of Chartered Certified Accountants and an associate member of The Hong Kong Institute of Certified Public Accountants. He has extensive professional experience in management, finance, accounting and investment fields.

The Board would like to express its gratitude to Mr. Leung for his contributions to the Company and also extend its welcome to Mr. Cheuk on his appointment.
