Hubei Qianchuan Doors & Windows Co., Ltd. intends to acquire Chengdu Qianchuan Doors and Windows Co., Ltd. from Guangzhou Holike Creative Home Co.,Ltd. (SHSE:603898) for CNY 100 million on December 28, 2020. Under the terms, Hubei Qianchuan Doors & Windows will transfer within 5 working days after the signing of the agreement, 51% of the transfer price CNY 51 million aand within 10 working days after completing the transfer, shall pay 49% of the transfer price CNY 49 million. Within 20 working days after Hubei Qianchuan Doors & Windows Co., Ltd. makes the first payment, Chengdu Qianchuan Wood Co., Ltd. shall ensure Chengdu Qianchuan Doors and Windows Co., Ltd. completes the transfer. The balance sheet items of Chengdu Qianchuan Doors and Windows as of November 30, 2020, are total assets of CNY 205 million and net assets of CNY -0.355 million. The transaction is approved by the Board of Directors of Guangzhou Holike Creative Home Co.,Ltd. and does not need shareholder approval of Hubei Qianchuan Doors & Windows Co., Ltd.
Hubei Qianchuan Doors & Windows Co., Ltd. completed the acquisition of Chengdu Qianchuan Doors and Windows Co., Ltd. from Guangzhou Holike Creative Home Co.,Ltd. (SHSE:603898) on December 29, 2020.
