Nanogate AG (XTRA:N7G) agreed to acquire HTP Slovakia Vráble s.r.o. and HTP Electronics GmbH from HTI High Tech Industries AG (WBAG:HTI) for €13.2 million on November 20, 2017. Nanogate will issue 0.28 million shares as consideration. HTI will immediately transfer the stake to an affiliate of QInvest LLC. Post-completion, Nanogate will fully integrate HTP Slovakia and HTP Electronics into the group. In a related transaction, Nanogate will acquire HTP Austria as part of a strategic partnership with QInvest (including a later purchase option).

The transaction is subject to approval from shareholders of HTI in a shareholder meeting to be convened in December 2017. The deal has been approved by the shareholder of HTI on December 19, 2017. The transaction is expected to take place in the first quarter of 2018. HTI will use part of proceeds to repay liabilities. The transaction is expected to increase sales of Nanogate by €30 million in the next fiscal year.
