NOTICE TO DEBENTURE HOLDERS OF THE 1ST AND 2ND SERIES OF THE NINTH ISSUE OF SIMPLE DEBENTURES, NOT CONVERTIBLE INTO SHARES, OF THE UNSECURED TYPE, OF IOCHPE-MAXION S.A.
TOTAL EARLY REDEMPTION NOTICE
Pursuant to Clause 7.16 of the "Private Instrument of Deed of Public Issue of Simple Debentures, Not Convertible into Shares, Unsecured, of the Ninth Issuance of Iochpe-Maxion S.A.", entered into on January 9, 2019, between Iochpe-Maxion S.A. ("Company") and Pentágono S.A. Distribuidora de Títulos e Valores Mobiliários, as amended on February 11, 2019 ("Deed of Issue"), the Company hereby informs the holders of debentures of the 1st and 2nd series of the ninth issue of simple debentures, not convertible into shares, of the unsecured type, of the Company ("Issue" and "Debentures") that it will carry out, on June 14, 2023, the early redemption of all outstanding Debentures, with the consequent cancellation of the Debentures and extinction of all obligations of the Company in relation to the Issue ("Total Early Redemption"), upon payment of the Nominal Unit Value or the balance of the Nominal Unit Value, as the case may be, of the Debentures of the relevant series, plus the Remuneration of the relevant series, calculated pro rata temporis, from the payment date of the Remuneration of the relevant series immediately prior to the date of the effective payment, plus the premium foreseen and calculated in the terms of the Deed of Issue.
The amount of the Total Early Redemption will be paid in full by the Company through B3, in relation to the Debentures that are electronically held in custody at B3, or through the bookkeeper (escriturador) of the Debentures, Itaú Corretora de Valores S.A. ("Bookkeeper"), in relation to the Debentures that are held in custody at the Bookkeeper.
Capitalized terms used herein that are not defined here have the meaning assigned to them in the Deed of Issuance.
