AVISO AOS DEBENTURISTAS DA DÉCIMA EMISSÃO DE DEBÊNTURES

SIMPLES, NÃO CONVERSÍVEIS EM AÇÕES, DA ESPÉCIE QUIROGRAFÁRIA, DE

IOCHPE-MAXION S.A.

COMUNICAÇÃO DE RESGATE ANTECIPADO TOTAL

Nos termos da Cláusula 7.15 do "Instrumento Particular de Escritura de Emissão Pública de Debêntures Simples, Não Conversíveis em Ações, da Espécie Quirografária, da Décima Emissão de Iochpe-Maxion S.A.", celebrado em 10 de setembro de 2019, entre Iochpe-Maxion S.A. ("Companhia") e Pentágono S.A. Distribuidora de Títulos e Valores Mobiliários ("Escritura de Emissão"), a Companhia vem comunicar os titulares de debêntures da décima emissão de debêntures simples, não conversíveis em ações, da espécie quirografária, da Companhia ("Emissão" e "Debêntures") que realizará, em 14 de junho de 2023, o resgate antecipado da totalidade das Debêntures em circulação, com o consequente cancelamento das Debêntures e extinção de todas as obrigações da Companhia com relação à Emissão ("Resgate Antecipado Total"), mediante o pagamento do Valor Nominal Unitário das Debêntures, acrescido da Remuneração, calculada pro rata temporis, desde a data de pagamento da Remuneração imediatamente anterior até a data do efetivo pagamento, acrescido de prêmio previsto e calculado nos termos da Escritura de Emissão.

O valor do Resgate Antecipado Total será pago integralmente pela Companhia por meio da B3, com relação às Debêntures que estejam custodiadas eletronicamente na B3, ou por meio do escriturador das Debêntures, Itaú Corretora de Valores S.A. ("Escriturador"), com relação às Debêntures que estejam custodiadas junto ao Escriturador.

Termos iniciados por letra maiúscula aqui utilizados que não estiverem aqui definidos têm o significado que lhes foi atribuído na Escritura de Emissão.

NOTICE TO DEBENTURE HOLDERS OF THE TENTH ISSUE OF SIMPLE

DEBENTURES, NOT CONVERTIBLE INTO SHARES, OF THE UNSECURED TYPE,

OF IOCHPE-MAXION S.A.

TOTAL EARLY REDEMPTION NOTICE

Pursuant to Clause 7.15 of the "Private Instrument of Deed of Public Issue of Simple Debentures, Not Convertible into Shares, Unsecured, of the Tenth Issuance of Iochpe-Maxion S.A.", entered into on September 10, 2019, between Iochpe-Maxion S.A. ("Company") and Pentágono S.A. Distribuidora de Títulos e Valores Mobiliários ("Deed of Issue"), the Company hereby informs the holders of debentures of the tenth issue of simple debentures, not convertible into shares, of the unsecured type, of the Company ("Issue" and "Debentures") that it will carry out, on June 14, 2023, the early redemption of all outstanding Debentures, with the consequent cancellation of the Debentures and extinction of all obligations of the Company in relation to the Issue ("Total Early Redemption"), upon payment of the Debentures' Nominal Unit Value, plus the Remuneration, calculated pro rata temporis, from the payment date of the Remuneration immediately prior to the date of the effective payment, plus the premium foreseen and calculated in the terms of the Deed of Issue.

The amount of the Total Early Redemption will be paid in full by the Company through B3, in relation to the Debentures that are electronically held in custody at B3, or through the bookkeeper (escriturador) of the Debentures, Itaú Corretora de Valores S.A. ("Bookkeeper"), in relation to the Debentures that are held in custody at the Bookkeeper.

Capitalized terms used herein that are not defined here have the meaning assigned to them in the Deed of Issuance.
