iRidge, Inc. (TSE:3917) concluded a basic agreement to acquire KeySmithWorld, Inc. from Takahito Furuki for ¥30.9 million on July 26, 2019. iRidge, Inc. (TSE:3917) entered into an agreement to acquire KeySmithWorld, Inc for ¥30.9 million on August 9, 2019. Under the terms of the basic agreement, iRidge will issue 111 shares for each share of KeySmithWorld. iRidge will issue a total of 0.033 million shares as consideration. As per the agreement, KeySmithWorld and iRidge will merge and iRidge will be the surviving entity. KeySmithWorld reported total assets of ¥23.3 million and net assets of ¥2.8 million as of January 31, 2019 and revenues of ¥99.96 million, operating loss of ¥0.57 million and net loss of ¥0.57 million for the year ended January 31, 2019. The transaction is resolved by the Board of iRidge. The agreement is expected to be concluded on August 9, 2019, resolution date for shareholders of KeySmithWorld is expected to be late August 2019 and is expected to be completed on October 1, 2019.
