Seat Pagine Gialle SpA (BIT:PG) entered into an agreement to acquire Italiaonline S.p.A. from Libero Acquisition S.à r.l and others for €450 million on January 20, 2016. Under the terms of transaction, Seat Pagine Gialle shall issue 1350 ordinary shares in exchange for each share of Italiaonline. The new combination will assume the corporate name Italiaonline. Italiaonline and Seat Pagine Gialle’s extraordinary shareholders’ meeting shall take place on March 8, 2016 to approve the transaction. The transaction has been approved by Board of Seat Pagine Gialle and Italiaonline. The transaction is expected to close by first half 2016. As of March 8, 2016, the deal was approved by shareholders of Italiaonline and Seat.
