With effect from May 25, 2018, the EU General Data Protection Regulation (GDPR) and the German Data Protection Act (BDSG) in their new version are applicable. We hereby inform you about the collection and processing of your personal data by KHD Humboldt Wedag International AG (KHD AG) and the rights to which you are entitled under the data protection regulations.

KHD AG processes personal data (name, place of residence, number of shares, kind of ownership of shares, name and address of shareholder representative as authorized by the respective shareholder) based on the applicable data protection regulations in order to enable shareholders and shareholder representatives to exercise their rights during the Annual General Meeting of shareholders. Insofar as these personal data are not provided by the shareholders in the context of the registration for the Annual General Meeting, the custodian bank transfers their personal data to KHD AG. The personal data of the shareholders and shareholder representatives is used for the purposes stipulated in the German Stock Corporation Act (AktG), in particular, in connection with the conduct of the Annual General Meeting. The legal basis for the processing of your personal data is the German Stock Corporation Act in conjunction with Article 6 paragraph 1 c) and paragraph 4 GDPR.

Your personal data will be deleted as soon as they are no longer required for the above- mentioned purposes and unless other legal obligation to provide evidence and storage oblige us to further storage. Corresponding proof and retention obligations arise, inter alia, from the German Commercial Code (HGB), the Tax Code (AO) and the Money Laundering Act (Geldwäschegesetz). Your personal data will be stored of if legal claims are asserted by you or are lodged by KHD AG. As a general principle, this is intended to assist with clarification of claims and enforcement in individual cases. Based on legal principles governing the statute of limitations, this can lead to a storage period of three to thirty years.

For the personal data collected in connection with Annual General Meetings, the period of storage is normally up to three years. If possible, we will keep your personal data in anonymized form.

KHD AG may make use of external service providers for the conduct of the Annual General Meeting. External service providers who process personal data on our behalf are contractually bound as data processors in accordance with Article 28 paragraph 3 GDPR.

At the Annual General Meeting, pursuant to Section 129 paragraph 1 sentence 2 AktG, we are obliged to enter the present or represented shareholders and the representatives of shareholders into the list of participants, stating the name, place of residence, number of shares and type of ownership. These data can be viewed by the participants of the Annual General Meeting during the meeting and by every shareholder on request up to two years after the Annual General Meeting (Section 129 paragraph 4 AktG).

In addition, it may become legally necessary to pass on your personal data to other recipients, such as government agencies upon materialization of certain facts and circumstances (e.g. if statutory voting rights thresholds are exceeded, to tax authorities or criminal prosecution authorities).

With regard to the processing of personal data, shareholders and shareholder representatives can demand from KHD AG: information regarding their personal data pursuant to Article 15 GDPR, correction of their personal data pursuant to Article 16 GDPR, deletion of their personal data pursuant to Article 17 GDPR, limitation of the processing of their personal data pursuant to Article 18 GDPR and transfer of certain personal data to them or to a third party designated by them (right to data transfer) in accordance with Article 20 of the GDPR.
