Background/Description of the Disclosure

Stock Dividends amounting to 0.5435056706% of the outstanding capital stock equivalent to a maximum of 1,455,660.90 shares of stock, to be issued out of the un-issued capital stock to stockholders of record as of 25 August 2022 with a payment date not later than 21 September 2022. Fractional shares of 49.90 shall be paid in cash. The actual stock dividends to be issued may be less than the above indicated shares of stock due to the resulting fractional shares, as of 25 August 2022.
